Terms of Service

These Terms govern your use of Pokat (“Pokat,” “we,” “us”), a workspace for freelancers and their clients to run a project from brief to signed approval to payment. By creating an account or using a Pokat project, you agree to these Terms.

1. What Pokat is

Pokat is a software product. It is not a bank, payment institution, escrow agent, or money transmitter, and it is not a party to the agreement between a freelancer and their client. Pokat provides the workspace, versioning, e-signature approvals, and the interface to a non-custodial payment flow. The work itself, and the contract for it, is strictly between the freelancer and the client.

2. Accounts and project links

  • Freelancers create an account and are responsible for keeping their credentials secure.
  • A client accesses a project through a unique project link. That link is a capability — treat it like a password. Anyone with the link can view and act on the project. Do not share it publicly.
  • You must be legally able to enter a binding contract and use Pokat for legitimate business purposes only.

3. The service

Pokat lets a freelancer assemble a project as a feed of blocks, publish immutable versions, and collect a client's e-signature approval. Each approval records a content hash, timestamp, IP address, and user agent as an audit trail. Files, messages, and comments are shared within the project workspace.

4. Payments and escrow (non-custodial)

Pokat never controls your funds. When a client pays, funds settle as USDC into an on-chain escrow smart contract. Only the buyer and seller — and, after a fixed 14-day timelock, anyone — can trigger release. Pokat holds no key over escrowed funds and cannot move, freeze, or redirect them.
  • Fiat payment and conversion are processed by Transak as Merchant of Record. Transak performs KYC/AML and is responsible for chargebacks and payment rejections.
  • Release happens when the buyer releases the funds, or automatically 14 days after delivery if no dispute is raised. The countdown is shown in the portal before payment.
  • On release, the contract atomically splits the payment between the freelancer's wallet and Pokat's fee wallet in a single transaction.
  • On-chain transactions are generally irreversible. Confirm wallet addresses and amounts before paying.

5. Fees

Pokat charges a transparent fee on each transaction. Fees are always shown as separate line items — subtotal, buyer processing fee, and seller platform fee — before payment. Current fees:

  • Free plan: 3% buyer processing fee (pass-through), 6% seller platform fee. $0/month.
  • Pro plan: 3% buyer processing fee (pass-through), 3% seller platform fee. $19/month.

We may change fees with notice; changes do not apply retroactively to in-progress milestones.

6. No warranty on the work

Pokat does not verify, approve, or guarantee the quality, accuracy, or fitness of any work delivered through it. Any delivery manifest is descriptive only. Disputes about the work are between the freelancer and the client; Pokat is not an arbiter and does not adjudicate releases.

7. Acceptable use

You agree not to use Pokat to:

  • break any law, or facilitate fraud, money laundering, or sanctioned activity;
  • upload content you do not have the rights to, or that is unlawful, infringing, or harmful;
  • attempt to bypass fees, the escrow mechanism, or rate limits;
  • probe, scrape, or disrupt the service or its infrastructure.

8. Intellectual property

You keep ownership of the content you upload. You grant Pokat a limited license to host and display that content solely to operate the service. Pokat and its software, branding, and design remain the property of Pokat.

9. Disclaimers and limitation of liability

Pokat is provided “as is” and “as available,” without warranties of any kind, to the maximum extent permitted by law. To the maximum extent permitted by law, Pokat is not liable for indirect, incidental, or consequential damages, for lost profits, or for loss of funds arising from blockchain transactions, third-party providers (including Transak), or your own handling of project links or wallet addresses. 10. Indemnity

You agree to indemnify Pokat against claims arising from your use of the service, your content, or your breach of these Terms.

11. Termination

You may stop using Pokat at any time. We may suspend or terminate access for breach of these Terms or for unlawful use. Funds already in an on-chain escrow contract are governed by that contract, not by account status.

12. Changes to these Terms

We may update these Terms. Material changes will be notified, and continued use after the effective date means you accept them.

13. Governing law
